1．中化建國際 （以下簡稱“招標機構”）受中海油江蘇天然氣 （以下簡稱“招標人”）委托，現邀請合格投標人對下列貨物和服務提交密封投標：

CNCCC International Tendering Co.,Ltd.(here in after called “Tendering Agent”), for and on behalf of CNOOC Jiangsu Gas Co., Ltd(here in after called "Purchaser") invites sealed bids from eligible bidders for the supply of following equipment and service：

關境外提供的貨物，合同簽訂后245日裝船，交貨

For goods offered from within PRC customs territory: the goods shall arrive at Jiangsu LNG Terminal Project Site(Address: Binhai harbour District, Yancheng City, Jiangsu Province,China) within 255 days from the date of the signing of the contract.

2．業績和資格要求：

References and Qualification requirement:

1）資質要求：

 Qualification requirement:

A. 投標人必須是具有獨立法人資格的GLOBE 調節閥制造商或代理商。

獨立法人資格要求：關境內投標人應提供有效的營業執照、組織機構代碼證、稅務登記證或三證合一營業執照等。關境外投標人應提供有效的獨立法人證明，以證明投標人具有獨立法人資格。

Bidder shall be manufacturer or authorized agent designated by manufacturer with the qualification of independent legal entity of Cryogenic Pneumatic Globe Control Valves.

Bidder from within the PRC customs Territory shall provide valid business license, Organization Code Certificate and tax registration certificate or integrated business license combined above three certificates. Bidder from outside the PRC Customs Territory shall provide valid independent legal entity certificate.

B. 代理商要求：如果投標人所投的貨物不是投標人自己制造的，投標人應得到貨物制造商的同意以及其在本次投標中唯一提供該貨物的正式授權書，且本次投標的產品必須是同一品牌。

If the goods is not manufactured by bidder, the bidder shall be duly authorized by the goods' Manufacturer to supply the goods solely in this bidding, and the products in this bidding must be of the same brand.

C.投標人應提供閥門制造商的以下有效認證證書復印件，若認證證書包含本次招標產品的尺寸、壓力等級一種或幾種參數，則其證書中的相應參數須覆蓋本次招標的產品對應最高參數要求，證書認證的制造商名稱應與其所提供業績的制造商名稱、此次投標貨物的制造商名稱一致。

The bidder shall provide copies of the following certifications of the manufacturer when bidding, if the certifications include one or several parameter of size and pressure of the bidding products, the corresponding parameter shall cover the corresponding valve’s highest parameter in the bidding documents. The name of the certificates shall be the same with the manufacture of references and the manufacture of the bidding Goods:

壓力設備認證證書：制造商應具有中國國家質監局頒發的特種設備制造許可證（A2(2)級）、特種設備型式試驗證書或壓力設備(PED)認證證書中的至少一種，且所有證書均應在有效期內；

Pressure equipment certification：The manufacturer should have at least one certificate through the Manufacturer license of Special Equipment People’s Republic of China issued by General Administration of Quality Supervision (Certificate level for cryogenic valves:A2(2)), or Certificate for Type Test of Specific Equipment or certificate for pressure equipment（PED）, and the certification should be within the period of validity.

若投標人提供壓力設備(PED)認證證書，須承諾在供貨前提供由中國國家質監局頒發的特種設備型式試驗證書，證書中閥門類型，口徑、磅級覆蓋本次招標范圍且證書認證的制造商應與此次投標貨物的制造商一致。

If the bidder privides certificate for pressure equipment（PED, it must promise to provide the typetest certificate of special equipment issued by the State Administration ofquality supervision of the people's Republic of China before supply. The valvetype, caliber and scale in the certificate shall cover the scope of this bidding, and the manufacturer certified in the certificate shall be consistent with the manufacturer of the bidding goods.

D.從中華人民共和國關境內提供的貨物：投標截止時間前已進口的貨物：不接受。

For goods offered from within PRC customs territory: For goods already imported prior to the deadline for submission of bids（not allowed）.

E．供貨前提供閥門定位器、電磁閥、限位開關的防爆合格證，防爆合格證應由中國國家授權的監督檢驗機構頒發。閥門定位器的防爆等級不低于ExiaⅡBT4。電磁閥、限位開關的防爆等級不低于ExdⅡBT4，防護等級不低于IP66。

Explosion proof certificates of valve positioners, solenoid valves and limit switches should be provided before delivery. Explosion proof certificates shall be issued by the supervision and inspection agencies authorized by China. The explosion-proof level of the valve positioner is not lower than ExiaⅡBT4. The explosion-proof level of the solenoid valve and limit switch is not lower than ExdⅡBT4, and the protection level is not lower than IP66.

F. 電氣設備滿足國家市場監督管理總局公告〔2019年第34號〕《市場監管總局關于防爆電氣等產品由生產許可轉為強制性產品認證管理實施要求的公告》的要求，須在供貨時提供CCC認證證書。

The equipment meet the requirements of the announcement of the State Administration of market supervision [No. 34 in 2019]  《notice of the State Administration for Market Regulation about explosion-proof electrical products change from production license to compulsory product certification》, And the vendor should supply China Compulsory Certification on delivery.

2）財務要求：投標人應提供2017-2019年審計機構出具的財務審計報告及經審計的財務報表，包括資產負債表、現金流量表、利潤表，并列示出2017-2019三年凈資產和資產負債率。

Bidder shall submit 2017-2019 audited financial report issued by auditing agency, including balance sheets, cash flow statement,profit statement,and show the net assets and asset liability ratio in 2017-2019.

2017-2019年的年平均凈資產：不低于等值1000萬元人民幣；

Average net assets of last three years (from 2017 to 2019):not less than RMB 10,000,000 Yuan or equivalent;

2017-2019年的年平均資產負債率：小于0.85。

Average asset-liability ratio of last three years (from 2017 to 2019): less than 0.85.

3）業績要求：

 Requirements of performance:

（1）制造商自2006年1月1日至投標截止之日（合同簽署時間）至少具有2項中國境內LNG接收站（規模不小于200萬噸/年）深冷Globe調節閥運行業績，上述業績中至少包含2臺尺寸≥6寸且磅級≥1500LB的深冷Globe調節閥運行業績。

From January 1, 2006 to the deadline for submission of bids（according to the date of contract signature）, the manufacturer shall have performance of operating Cryogenic Globe Control Valve in at least two LNG receiving terminals within PRC customs territory (no less than 2 million tons/year), the above achievements shall have at least 2 sets of size ≥6 inch and pound grade ≥ 1500Lb Cryogenic Globe Control Valves operation performance.

（2）投標人須提交有效的業績表和相關證明文件（“1.合同復印件相關章節”和“2.用戶使用證明或用戶調試報告”。如前述1和2無法體現接收站名稱和規模，須提供其它證明接收站名稱和規模的公開發行文件”）。業績證明文件必須至少體現以下內容：合同簽署時間、貨物名稱及類型（Globe深冷調節閥）、裝置名稱及規模（LNG接收站，不小于200萬噸/年）、供貨數量、閥門尺寸、磅級。未提交業績證明文件，或所提供的業績證明文件無法驗證前述業績信息，均視為無效業績。

Bidders shall submit valid performance statements and relevant supporting documents (“1. Relevant chapters copies of contract”and“2. User's on-site commissioning report or user's certificate of use”. If the above item 1 and 2 can not prove the name and scale of LNG receiving stations,the bidder shall provide other public document to prove the name and scale of LNG receiving stations).The relevant documentary evidence must embody at least the following contents: the signing time of the contract,the name of the goods,the type of the goods (Cryogenic Control Valves), the name and scale of the unit (LNG receiving stations no less than 2 million tons per year ), the quantity of goods supplied, the size and class of valve. Failure to submit are levant documentary evidence for their reference or failure to verify the above information will be regarded as invalid performance.

（3）投標人所報的本次招標GLOBE 調節閥的原產地和制造商應與所提供業績中的GLOBE 調節閥原產地以及制造商一致，且本次投標GLOBE 調節閥應在其原產地工廠進行生產和檢驗，不得委托加工。

投標人提交能體現原產地和制造商的業績證明文件，包括1.合同復印件或2.報關單或3.原產地證明或4. BV、DNV、勞氏等國際知名第三方檢驗機構出具的報告，例如出廠檢驗報告、制造過程檢驗報告等。

The original place and manufacturer of Cryogenic Pneumatic Globe Control Valve of the bidder’s quotation shall be in accordance with the original place and manufacturer of Cryogenic Pneumatic Globe Control Valve of the offered performance, and must be processed and inspected in the original place, OEM is forbidden.

To prove country of origin and manufacturer, Bidder shall provide the reference evidence, including 1.contract copies or 2. customs declaration or 3.place of origin certificate or 4. certified by a third authority such as Lloyd's,BV or DNV orother internationally renowned authority, the certification include factoryinspection report, manufacturing process inspection report, etc.

4）質量要求：制造商應提供ISO9001質量管理體系認證證書，且證書在有效期內。代理商投標時應提供所代理的產品制造商的ISO證書。

Manufacturer shall have the ISO9001 quality management system certification and the certificate is valid.The agent shall have the ISO certificate of the product manufacturer.

業主保留按ITP要求直接從中國派遣第三方檢驗人員對任一重要質量控制點（如閥門主要胚件生產廠、閥門主要部件加工廠、閥門部件組裝廠、閥門測試廠等）進行見證性檢驗的權利。

The purchaser reserves the right to send third-party inspector from China to witness inspection of any important quality control point (such as valve main roughcast manufacture plant,valve mainparts manufacture plant, valve main parts assembly plant, valve testing plant and so on) according to the ITP.

3．有興趣的合格投標人可通過以下方式獲取招標文件：

從 2020年7月24日開始至2020年7月31日止，請登錄中國海洋石油集團 采辦業務管理與交易系統（ ooc.com.cn）的招標公告頁面進行購買。首次登錄必須先進行注冊（免費），注冊成功后，方可購買招標文件。購買過程必須全程在線操作，線下形式的匯款將不予接受。標書費支付成功后，投標人可自行下載招標文件。招標文件每套售價為2000元人民幣或300美元，售后不退。如未在系統中購買招標文件，不可參加投標。另外，投標人還需要在 （ ooc.com.cn) on the page of Invitation for bid for purchasing Bidding document from  July 24, 2020 to  July 31  , 2020. For the first time of login, a registration (free of charge) is needed and only after successful registration, Bidder can purchase Bidding documents online. The whole purchasing process must be operated online and offline payment will not be accepted. After successful payment of RMB 2000.00 or USD300.00 for each copy of Bidding documents which is non-refundable, Bidder may download the Bidding documents. Bidder fails to purchase Bidding documents online is not eligible tobid. In addition, the bidder need to succeed in the China international bidding nets (
